1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("Client," "You," "Your") and Bit By Bit Web Services Private Limited (operating as "VoroHQ," "We," "Us," "Our").

By accessing our website (vorohq.com), engaging our services, making a payment, or communicating with us in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Binding Legal Agreement:

These Terms are legally enforceable. If you do not agree with any provision, you must immediately cease using our services and website. Continued use constitutes acceptance.

2. Payment Terms & Conditions

Payment Due Dates:

  • All payments must be made on or before the due date specified in the invoice
  • Advance payments are required for project commencement
  • Monthly retainer payments must be cleared by the 1st of each month
  • Milestone payments must be settled before proceeding to the next phase
  • Final payments must be cleared before project handover or delivery

Late Payment Consequences:

  • Immediate Service Suspension: Failure to clear payments by the due date will result in immediate suspension of all services
  • Late Payment Charges: Interest of 2% per month (24% per annum) will be charged on overdue amounts
  • Legal Action: Persistent non-payment may result in legal proceedings and debt recovery actions
  • Credit Impact: Your business may be reported to credit agencies for non-payment
Service Suspension Policy:

All services (including ongoing projects, hosting, maintenance, support, and legal matters) will be immediately suspended if payments are not cleared by the due date. VoroHQ is not liable for any consequences arising from service suspension due to non-payment.

Taxes & Additional Charges:

  • All prices are exclusive of applicable taxes unless stated otherwise
  • GST (Goods & Services Tax) at the prevailing rate will be added to all invoices
  • Any other government levies, fees, or taxes will be charged as applicable
  • Cross-border transactions may incur currency conversion and international transfer fees

TDS (Tax Deducted at Source):

If you deduct TDS from payments to VoroHQ, you are legally obligated to:

  • File TDS returns with the Income Tax Department within the statutory timeline
  • Provide Form 16A or TDS certificate to VoroHQ within 15 days of deduction
  • Ensure the deducted amount is deposited with the government
TDS Non-Filing = Legal Action:

If you deduct TDS but fail to file returns or provide TDS certificates, VoroHQ will initiate immediate legal proceedings to recover the full invoice amount plus penalties, interest, and legal costs. This is a serious breach of tax law and our agreement.

3. Accepted Payment Methods

VoroHQ accepts payments ONLY through the following authorized methods:

Official Payment Channels:

  • Razorpay: Online payment gateway for credit/debit cards, UPI, net banking, and wallets
  • NEFT (National Electronic Funds Transfer): Direct bank transfer to our account
  • RTGS (Real Time Gross Settlement): For payments above ₹2 lakhs
  • IMPS (Immediate Payment Service): Instant bank transfers
  • UPI (Unified Payments Interface): Direct UPI payments to our verified business account
  • Bank Cheque: Cheques in favor of "Bit By Bit Web Services Private Limited"
Payment Recipient:

All payments must be made ONLY in favor of "Bit By Bit Web Services Private Limited". Payments to any other entity, individual, or bank account will NOT be acknowledged or accepted as valid payment.

Unauthorized Payment Methods (NOT ACCEPTED):

  • Cash payments (we do not accept physical currency)
  • Cryptocurrency or digital currencies
  • Third-party payment platforms not listed above
  • Payments to individual employee accounts
  • Barter or exchange of goods/services
  • Post-dated cheques (PDCs) without prior approval
Fraud Prevention Warning:

Any transactions made to accounts or entities OTHER than "Bit By Bit Web Services Private Limited" will be considered fraudulent and will not be accepted. VoroHQ will not be liable for any losses resulting from such unauthorized payments. If you receive payment instructions from anyone asking you to pay to a different account, DO NOT proceed and contact us immediately at legal@vorohq.com.

4. Service Commencement & Payment Realization

Services will ONLY commence after complete realization of payment. This means:

Payment Realization Timeline:

  • Online Payments (Razorpay, UPI): Services begin within 24-48 hours of successful transaction
  • NEFT/RTGS/IMPS: Services begin after bank confirmation (1-3 business days)
  • Cheque Payments: Services begin only after cheque clearance (7-10 business days)
  • PDC (Post-Dated Cheques): Services begin on cheque maturity date plus clearance time
No Work Before Payment:

VoroHQ will not initiate any work, allocate resources, engage vendors, or commence any service delivery until the full payment is realized in our bank account. Payment realization means the funds have been successfully credited and cleared, not just initiated.

Advance Payment Policy:

All advance payments are 100% non-refundable under any circumstances. Once an advance payment is made:

  • Resources are immediately allocated to your project
  • Vendors and third-party service providers are engaged
  • Project timelines and schedules are locked
  • Opportunity costs are incurred (we decline other projects)
Non-Refundable Advance:

Once confirmed, packages and advance payments CANNOT be cancelled or refunded for any reason whatsoever—including but not limited to change of mind, business closure, market conditions, personal emergencies, or dissatisfaction with preliminary discussions.

5. Project Timelines & Delay Clauses

Timeline Calculation:

Project timelines begin from the date of payment realization, not from the date of inquiry, discussion, or payment initiation.

Client Delay = No Extension:

Any delay from your side will NOT result in timeline extension. This includes but is not limited to:

  • Delayed response to emails, calls, or messages
  • Late approval of designs, content, or deliverables
  • Failure to attend scheduled meetings or calls
  • Delayed payment for milestone-based projects
  • Unavailability of key decision-makers
  • Internal business changes or restructuring
Timeline Accountability:

Client delays, follow-up gaps, or non-responsiveness will be counted as part of the overall package timeline. If you fail to respond within the stipulated time, the project timeline continues to run, and no compensation, extension, or refund will be provided.

VoroHQ Delays (Force Majeure):

Delays in service delivery due to factors beyond our reasonable control are considered normal and acceptable. These include:

  • Third-party vendor delays (hosting providers, domain registrars, government authorities)
  • Legal/regulatory processing times (trademark approvals, company incorporation)
  • Court dates, judge availability, or legal system delays
  • Natural disasters, pandemics, or acts of God
  • Government-mandated shutdowns or restrictions
  • Internet outages, server failures, or technical infrastructure issues
  • Platform policy changes (Google, Facebook, Instagram, etc.)

VoroHQ will not be liable for delays caused by such circumstances, and no refunds, compensation, or penalty waivers will be applicable.

6. Client Responsibilities & Obligations

Timely Provision of Access:

You are solely responsible for providing timely access to:

  • Social media accounts (Facebook, Instagram, LinkedIn, YouTube, etc.)
  • Website hosting and domain control panels
  • Google Analytics, Search Console, and other analytics platforms
  • Email accounts and marketing automation tools
  • CRM systems and business software
  • Cloud storage and file-sharing platforms
Access Delay = Client Responsibility:

Any delay in providing access to required accounts, platforms, or systems is YOUR sole responsibility. The project timeline will NOT be extended due to access delays, and VoroHQ will not be held accountable for project delays resulting from your failure to provide timely access.

Legal Documentation & Information:

For legal services (company incorporation, trademark filing, litigation, compliance), you must provide:

  • Accurate and complete personal information (name, address, contact details, PAN, Aadhaar)
  • Valid identity and address proofs
  • Business documentation and incorporation certificates
  • Financial records and tax returns (if required)
  • Authorized signatories and board resolutions
Legal Documentation Delays:

Any delay in providing required legal documentation, information, or signatures is YOUR responsibility. Such delays may result in missed government deadlines, rejected applications, or legal penalties—all of which are YOUR consequences, not VoroHQ's liability.

Accuracy of Information:

You are required to cross-check all data, content, email addresses, phone numbers, bank details, and credentials before providing them to VoroHQ.

  • Incorrect email addresses may result in failed communications
  • Wrong bank details may delay payments or refunds
  • Inaccurate legal information may lead to rejected applications or legal penalties
  • Incorrect social media handles may result in wrong account access
Verification Is Your Responsibility:

Once you provide information to VoroHQ, it is assumed to be accurate and verified. If incorrect information is discovered later, VoroHQ will NOT be responsible for any consequences, delays, or additional costs incurred to rectify the errors.

Misleading or False Information:

Providing misleading, false, or fraudulent information for legal services or any other service is a serious offense and will result in:

  • Immediate termination of services without refund
  • Legal action for fraud and misrepresentation
  • Reporting to relevant authorities (police, income tax, ROC, courts)
  • Full liability for legal penalties, fines, and consequences

You alone are responsible for the accuracy and legality of all information provided to VoroHQ.

7. Intellectual Property Rights & Ownership

Your Provided Content:

By providing any content, images, logos, videos, text, designs, or other materials to VoroHQ, you represent and warrant that:

  • You own all intellectual property rights to the provided materials
  • You have obtained all necessary licenses, permissions, and consents
  • The materials do not infringe on any third-party copyrights, trademarks, or patents
  • You have the legal authority to grant VoroHQ usage rights for project execution
IP Infringement = Your Liability:

Any copyright claims, trademark disputes, patent infringement issues, or legal troubles arising from materials YOU provided are YOUR sole responsibility. VoroHQ will NOT be held liable for any IP violations, and you agree to indemnify VoroHQ against all claims, damages, and legal costs.

Third-Party Content:

If you request VoroHQ to use stock images, music, fonts, or other third-party content in your project:

  • YOU are responsible for purchasing appropriate licenses
  • YOU must ensure compliance with usage terms and restrictions
  • VoroHQ is not liable for unlicensed or improperly used third-party content

VoroHQ Deliverables:

Ownership of final deliverables (websites, designs, videos, content) transfers to you ONLY after:

  • Full payment of all invoices
  • Project completion and final approval
  • Clearance of any outstanding dues

Until full payment is received, VoroHQ retains all rights to the work produced.

8. Data Management, Storage & Backup Policies

Google Drive Data Retention:

When VoroHQ shares project files, deliverables, or resources via Google Drive:

  • The shared link remains active for 14 days ONLY
  • After 14 days, data will be permanently deleted to free up storage
  • YOU are responsible for downloading and backing up all files within this timeframe
  • VoroHQ is NOT a data storage company and cannot retain client data indefinitely
Once Deleted, Data Cannot Be Recovered:

After the 14-day period, all data shared via Google Drive is permanently deleted and CANNOT be recovered. If you fail to download your files within this period, VoroHQ is NOT responsible for data loss. No refunds, redelivery, or compensation will be provided.

Backup Policy:

VoroHQ takes multiple precautions and maintains backups across various systems. However:

  • Backups are created for operational continuity, not for indefinite client data storage
  • Backups may be overwritten or deleted as part of routine maintenance
  • VoroHQ is NOT obligated to retain backups beyond project completion
Data Loss Disclaimer:

Despite our best efforts, data loss due to unavoidable circumstances (server failures, natural disasters, cyberattacks, technical malfunctions) may occur. VoroHQ will NOT be liable for any data loss, and no compensation, refunds, or remedies will be provided. YOU are solely responsible for maintaining your own backups.

Client Backup Responsibility:

YOU must:

  • Download all deliverables immediately upon receipt
  • Maintain multiple local and cloud backups of your data
  • Not rely on VoroHQ for long-term data storage
  • Verify data integrity after download

9. Service-Specific Terms & Conditions

Content, Design & Creative Services:

Creative services (graphic design, video production, content writing, branding) are highly subjective and taste-sensitive. We acknowledge that:

  • Different people have different aesthetic preferences
  • Subjective opinions on design, color, tone, and style may vary
  • What one person loves, another may dislike
Revisions & Feedback:

If you don't like the initial design, content, or video, your feedback will be considered and implemented within the agreed revision limits. However, subjective dissatisfaction with creative work CANNOT be grounds for project cancellation or refund. We work with you to refine the output until it meets your approval within the project scope.

Platform Suspensions & Content Objections:

If your social media accounts, ad campaigns, or content get suspended, flagged, or restricted by platforms (Facebook, Instagram, Google Ads, YouTube) due to:

  • Copyright or trademark infringement
  • Policy violations or community guideline breaches
  • Misleading content or prohibited products/services
  • Account history or previous violations

This is YOUR sole responsibility as the account owner. VoroHQ is NOT liable for:

  • Platform suspensions or ad account bans
  • Loss of ad spend or campaign budgets
  • Time taken to resolve platform disputes
  • Revenue loss due to account restrictions
Resolution Time Not Compensated:

The time taken to resolve platform suspensions, appeals, or policy violations will NOT be compensated or excluded from your package timeline. You remain responsible for platform compliance, and VoroHQ cannot guarantee approval or restoration of suspended accounts.

10. Limitation of Liability & Maximum Claims

Maximum Liability Cap:

In any circumstances whatsoever, the maximum amount the client can claim from VoroHQ is LIMITED to the total amount paid for the specific service in question.

Deductions from Claims:

Any claim amount will be FURTHER REDUCED by:

  • Payments made to third-party vendors on your behalf
  • Government fees, filing charges, and statutory payments
  • Non-recoverable costs (ad spend, licenses, subscriptions)
  • Work already delivered or services already rendered
  • Administrative and processing fees
No Consequential Damages:

VoroHQ will NOT be liable for indirect, incidental, special, consequential, or punitive damages including but not limited to loss of profits, revenue, data, business opportunities, reputation, or goodwill—regardless of the cause of action.

Excluded Liabilities:

VoroHQ is NOT responsible for:

  • Client's business losses, revenue decline, or market changes
  • Third-party service provider failures or delays
  • Platform policy changes or algorithm updates
  • Government processing delays or legal system inefficiencies
  • Client-provided incorrect or misleading information
  • Client's failure to act on our recommendations

11. Website Security, Hosting & Access Management

Cyberattacks & Security Incidents:

While VoroHQ implements security best practices, the following are YOUR core responsibility as the website/hosting owner:

  • Virus Attacks: Malware, ransomware, or virus infections
  • DDoS Attacks: Distributed Denial of Service attacks causing downtime
  • Brute Force Attacks: Repeated login attempts to gain unauthorized access
  • SQL Injection: Database vulnerabilities and exploits
  • Zero-Day Exploits: Unknown vulnerabilities in software/plugins
Security Incident Liability:

Any security breaches, hacking incidents, or cyberattacks on your website, hosting, or accounts are YOUR sole responsibility. While we work proactively on security measures, VoroHQ is NOT liable for damages, data loss, downtime, or financial losses resulting from security incidents.

Domain & Hosting Credentials:

VoroHQ does NOT store passwords, credentials, or access keys for your domain registrars or web hosting accounts.

  • YOU are responsible for maintaining secure passwords
  • YOU must enable Two-Factor Authentication (2FA) on all accounts
  • YOU must follow cybersecurity best practices and guidelines
  • YOU must securely store credentials in password managers
Lost Credentials Not Our Responsibility:

If you lose access to your domain, hosting, or email accounts due to forgotten passwords or compromised credentials, VoroHQ is NOT responsible. We do NOT store sensitive login information, and any loss of access or resulting consequences are YOUR responsibility.

Recommended Security Practices:

  • Enable 2FA/MFA on all critical accounts
  • Use strong, unique passwords for each service
  • Regularly update website plugins, themes, and core software
  • Install SSL certificates and keep them renewed
  • Monitor login attempts and enable security plugins
  • Backup your website independently and regularly

12. Content Approval & Client Verification Obligations

You are required to thoroughly cross-check, review, and approve all deliverables provided by VoroHQ before publication or use. This includes:

  • Social media posts, captions, and graphics
  • Website content, product descriptions, and legal pages
  • Email campaigns and marketing copy
  • Video scripts, subtitles, and final edits
  • Legal documents, contracts, and applications
  • Brand guidelines, logos, and design assets
Post-Approval Responsibility:

Once you approve content or deliverables, VoroHQ is NO LONGER responsible for any issues, errors, or consequences arising from the approved material. This includes factual inaccuracies, spelling/grammar mistakes, legal non-compliance, or misaligned branding—all of which should have been caught during your review.

Your Verification Checklist:

Before approving any deliverable, YOU must verify:

  • Factual accuracy of all information
  • Spelling, grammar, and language correctness
  • Brand alignment and messaging consistency
  • Legal compliance and policy adherence
  • Contact information accuracy (phone, email, address)
  • Pricing, product details, and specifications
  • Links, CTAs, and navigation functionality

Approval is considered FINAL. Post-approval changes may incur additional charges.

13. Service Suspension & Termination Conditions

Grounds for Immediate Suspension:

VoroHQ reserves the right to immediately suspend or terminate services if:

  • Payments are not cleared by the due date
  • Client provides false, misleading, or fraudulent information
  • Client engages in abusive, threatening, or harassing behavior toward staff
  • Client violates any terms of this agreement
  • Client's business activities are illegal or unethical
  • Client uses our services for fraudulent or harmful purposes
No Refunds on Termination:

If services are suspended or terminated due to your breach of terms, non-payment, or misconduct, NO REFUNDS will be issued for any advance payments, work completed, or services rendered up to the termination date.

Consequences of Suspension:

  • All active projects will be paused immediately
  • Website hosting and maintenance may be discontinued
  • Access to support, project management, and communication channels will be revoked
  • Legal services and court representations may be withdrawn
  • Marketing campaigns and ad accounts may be suspended

VoroHQ is NOT liable for any business losses, downtime, or consequences resulting from service suspension due to your breach of terms.

14. Billing Entities & Service Structure

VoroHQ operates through multiple specialized entities to provide comprehensive services. Your invoices will come from different entities based on the service type:

Legal Services Only:

  • Billing Entity: Law Tak
  • Services: Company incorporation, legal drafting, litigation, compliance, trademark filing
  • Invoice From: Law Tak

Complete Packages (Voro HQ One, Consultation, Brand Building + Legal + Development):

  • Billing Entity: Bit By Bit Web Services Private Limited (operating as VoroHQ)
  • Services: Integrated solutions combining brand, legal, development, and marketing
  • Invoice From: Bit By Bit Web Services Private Limited
  • Note: Law Tak bills Bit By Bit Web Services for the legal component, which is then included in your consolidated invoice

Production Services Only:

  • Billing Entity: Sparklusion Events
  • Services: Video production, photography, event coverage, corporate films
  • Invoice From: Sparklusion Events
Multiple Invoices for Comprehensive Projects:

If your project includes services from multiple entities (e.g., branding from VoroHQ + legal from Law Tak + production from Sparklusion), you may receive separate invoices from each entity. All entities operate under the VoroHQ ecosystem and are governed by these Terms of Use.

15. Legal Jurisdiction & Governing Law

Exclusive Jurisdiction:

All disputes, claims, and legal matters arising from these Terms or your use of VoroHQ services are subject to the EXCLUSIVE jurisdiction of courts in Delhi, India.

  • You agree to submit to the personal jurisdiction of Delhi courts
  • No other court or jurisdiction shall have authority over disputes
  • All legal proceedings must be initiated in Delhi courts only

Governing Law:

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Delhi Jurisdiction Is Final:

By engaging VoroHQ services, you irrevocably consent to the exclusive jurisdiction of Delhi courts for all legal matters. This clause survives termination of our agreement and applies regardless of your location.

Dispute Resolution:

Before initiating legal proceedings, both parties agree to:

  • Attempt good-faith negotiations to resolve disputes
  • Consider mediation or arbitration as alternative resolution methods
  • Provide written notice of disputes with a 15-day resolution period

Legal & Court-Related Delays:

For legal services provided by Law Tak through VoroHQ, any litigation delays due to circumstances beyond our control are NOT compensable. This includes:

  • Judges on Leave: Court hearings postponed due to judge unavailability
  • Court Strikes: Lawyer strikes or court shutdowns
  • Court Holidays: Scheduled or unscheduled court closures
  • Administrative Delays: Court registry processing times
  • Opposing Party Delays: Adjournments requested by the other side

All litigation dates, hearings, and legal proceedings affected by such delays remain billable and payable as per our agreement.

16. Modifications to Terms & Contact Information

Updates to Terms of Use:

VoroHQ reserves the right to modify, update, or change these Terms of Use at any time without prior notice. When changes are made:

  • The "Last Updated" date at the top will be revised
  • The updated Terms will be posted on our website
  • Continued use of services constitutes acceptance of new Terms

It is YOUR responsibility to regularly review these Terms for updates.

Changes to Contact Information:

Our office addresses, contact numbers, and email addresses may change as our business grows. All changes will be reflected on our website (vorohq.com).

  • Always refer to the website for the most current contact information
  • Outdated contact details are not our responsibility if publicly updated
  • Service continuity is maintained regardless of address changes
